Official Terms and Conditions – TeraStor S300 Giveaway, Intersolar Europe 2026

1. Promotion Overview

This giveaway (the "WIN OUR S300 UNIT GIVEAWAY") is run by TeraStor Energy, Inc. (the "Sponsor"), a Delaware corporation located at 11 Apex Drive, Suite 300A, #10, Marlborough MA 01752.

The Giveaway will take place at InterSolar in Munich, Germany, from June 23rd to June 25th (the "Promotional Period").

2. Eligibility

You may enter only if you:

1.Are at least 18 years old as of June 25, 2026.
2.Are the representative of a business (no individual winners).
3.Are attending InterSolar for business purposes.
4.Are not in a place where this Giveaway is not allowed.
5.Are not an employee, officer, director, or immediate family member of an employee, officer, or director of the Sponsor, NowaTepro, RCT Power or their affiliates.

No purchase is required to enter or win.

The Giveaway is void where prohibited.

3. How to Enter

1.To enter, place one (1) business card in the Sponsor's entry box at the Sponsor's booth (or other designated location) during the Promotional Period.
2.One entry per person. If you submit more than one entry, you may be disqualified.
3.Your business card must be readable and include enough contact information for the Sponsor to reach you.

4. Winner Selection and Notification

1.The Sponsor will choose one (1) potential winner at random from eligible entries on or about June 25, 2026 at the TeraStor Booth at InterSolar, Munich, Germany.
2.The Sponsor will contact the potential winner using the information on the business card within two (2) business days after the drawing.
3.The potential winner must respond within ten (10) business days after the Sponsor's notice, or the potential winner may be disqualified.

5. Prize (Credit Toward Purchase) and Contract Requirement

1.Prize. The prize is a credit of THE VALUE OF ONE TERASTOR 300 UNIT (the "Credit") that can be used only toward the purchase of TERASTOR 300 UNIT (the "Product") from the Sponsor.
2.Winner (a business) must sign a purchase contract to use the Credit. The Credit will be awarded and can be used only if the potential winner (a business) signs the Sponsor's purchase agreement for the Product (the "Purchase Agreement") and meets the Sponsor's standard customer onboarding/approval requirements.
3.No cash value. The Credit is not cash, cannot be redeemed for cash, and cannot be transferred to someone else.
4.Winner (a business) pays the rest. If the Product costs more than the Credit, the winner (a business) must pay the difference.
5.Unused Credit is forfeited. If the Product costs less than the Credit, any unused amount is lost and will not be paid out.
6.Expiration. The Credit must be used in a Purchase Agreement signed by June 25, 2027 or it expires.
7.Sponsor may decline to contract. The Sponsor may decide not to enter into a Purchase Agreement with a potential winner (a business) for lawful business reasons (for example, inability to agree on commercial terms or failure to meet onboarding requirements).

6. Verification and Disqualification

THIS OFFER IS SPECIFICALLY DIRECTED AT BUSINESSES, NOT INDIVIDUALS.

Before a company is confirmed as the winner, the Sponsor may require reasonable proof of eligibility and identity and may require the representative of the winner to provide proof of commercial status and sign standard forms (such as eligibility, liability, and publicity releases where allowed).

The Sponsor may disqualify a potential winner who:

1.Does not respond on time.
2.Does not complete required verification including proof of commercial status by providing a registered address and Tax ID.
3.Provides false or misleading information.
4.Breaks these Official Rules.
5.Engages in fraud or misconduct related to the Giveaway.

7. Personal Data and Privacy

1.What we collect. By entering, you agree the Sponsor may collect and use the personal information on your business card (such as name, company, email, and phone number).
2.
How we use it. The Sponsor may use this information to:
1.Run the Giveaway (including selecting and contacting the winner).
2.Meet legal and compliance obligations.
3.Set up and perform the Purchase Agreement if you are the winner.
4.Send marketing communications, unless you opt out.
3.International transfers. Because the Sponsor is based in the United States, information collected in Germany may be transferred to and processed in the United States.
4.Retention. The Sponsor will keep the information for the Giveaway for marketing purposes for no longer than 12 months.
5.Opt-out. You can opt out of marketing emails by using the unsubscribe method provided or by contacting info@terastorenergy.com.

8. Release and Limitation of Liability

By entering and/or accepting the Prize, you agree that the Sponsor and related parties are not responsible for claims or losses connected to:

1.Your participation in the Giveaway.
2.Receiving or using the Credit.
3.Negotiating, signing, or performing the Purchase Agreement.
4.Using the Product.

To the fullest extent allowed by law, the Sponsor is not responsible for indirect or consequential damages, or for issues caused by technical problems, human error, or lost/late/illegible entries.

9. Publicity

Where allowed by law, by accepting the Prize the winner allows the Sponsor to use the winner's name, likeness, and basic location (city/country) for promotional purposes without additional payment.

10. Governing Law and Disputes

These Official Rules are governed by United States federal law and the laws of New York, and disputes must be brought in the courts located in Manhattan, New York.

11. General Terms

1.The Sponsor may change, suspend, or end the Giveaway if needed (for example, due to fraud, technical issues, or other problems that affect fairness or proper operation).
2.These Official Rules are the complete rules for the Giveaway.
3.To request the winner's name, mail a request to TeraStor Energy, Inc. Attention: WIN OUR 300 UNIT Winner, within 14 days after June 25, 2026.

How to Enter

  • Drop your business card in the box to enter the drawing.

What We Will Do with Your Information

  • Giveaway Drawing: We will use your contact details to conduct the prize drawing and notify the winner, as well as for legal and compliance requirements.
  • Marketing Communications: With your consent, we will also use your business card information (name, company, email, phone) to send you marketing materials, product updates, and promotional offers from TeraStor Energy, Inc.
  • Your Choice: By entering your business card, you consent to both the prize drawing and to receiving future marketing communications from us.
  • Legal Basis: Your consent (GDPR Article 6(1)(a)).

Your Privacy Rights

  • You may withdraw your marketing consent at any time by emailing info@terastorenergy.com or clicking "unsubscribe" in any marketing email.
  • Withdrawing consent will not affect the giveaway drawing.
  • You have the right to access, correct, delete, or restrict the processing of your personal data, and to lodge a complaint with your data protection authority.

Data Retention

  • Giveaway entries: deleted within 14 days after the winner is announced.
  • Marketing list: retained until you withdraw consent or we determine the data is no longer needed.
